Welcome to Catalogz! These Terms of Service ("Terms") govern your access to and use of the Catalogz platform, website, and services (collectively, the "Service") operated by Catalogz ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By creating an account, subscribing to a plan, or otherwise using Catalogz, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.
2. Description of Service
Catalogz is an AI-powered platform for ecommerce product data enrichment, content generation, and visual creative production. The Service allows you to manage product feeds, apply frames and promotional overlays, generate optimized product content, and export creatives for advertising platforms.
3. Accounts and Registration
To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must notify us immediately at hello@catalogz.ai if you suspect any unauthorized use of your account.
User accounts and product licenses are non-transferable. Agencies and development partners must ensure their clients purchase separate licenses for direct support access.
4. Subscription Plans and Payment
Catalogz offers various subscription plans with different features and usage limits. All payments are processed securely through Paddle, our authorized payment gateway and Merchant of Record. By subscribing, you agree to Paddle's terms of service in addition to these Terms.
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Paddle handles all billing, invoicing, sales tax, and VAT compliance on our behalf.
5. Refund Policy
We offer a 14-day money-back guarantee on all paid subscriptions. If you are not satisfied with the Service for any reason, you may request a full refund within 14 days of your purchase by contacting us at hello@catalogz.ai. Refunds are processed through Paddle and will be returned via the original payment method.

6. License and Usage Rights
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not:
- Resell, redistribute, or sublicense the Service or any part of it without our written consent
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service for any unlawful purpose or in violation of these Terms
- Circumvent or attempt to circumvent any usage limits, security measures, or access controls
- Use automated scripts or bots to access the Service except through our official API
7. Intellectual Property
All content, features, technology, and branding associated with the Service (including but not limited to software, text, graphics, logos, and designs) are the intellectual property of Catalogz and are protected by applicable copyright, trademark, and other intellectual property laws.
You retain ownership of any product data, images, or content you upload to the Service. By uploading content, you grant us a limited license to process and transform it solely for the purpose of providing the Service to you.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described therein.
9. Service Availability and Warranty Disclaimer
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or fully compatible with all ecommerce platforms, advertising networks, or external systems. We recommend reviewing our features or contacting us at hello@catalogz.ai before purchasing to verify compatibility.
10. Limitation of Liability
To the maximum extent permitted by law, Catalogz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, revenue, or business interruption, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
11. Account Termination and Suspension
We reserve the right to suspend or terminate your account at any time, with or without prior notice, for reasons including but not limited to:
- Violation of these Terms or any applicable law
- Abusive, defamatory, or harassing behavior towards our staff or other users
- Unauthorized resale, distribution, or promotion of competitor products through our platform
- Involvement in hacking, spamming, piracy, or other illegal activities
- Fraudulent product listings, misleading content, or submission of unauthorized data
- Security threats due to account compromise or credential sharing
Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period.
12. Indemnification
You agree to indemnify, defend, and hold harmless Catalogz, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in the State of Delaware, unless otherwise required by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
